Terms of Service
These Terms govern your access to and use of Future Guru's enterprise AI platform, APIs, websites, and related services. By using our offerings, you agree to be bound by this legally binding agreement.
1. Acceptance of Terms
By accessing or using any service provided by Future Guru Enterprise AI Inc. (“Future Guru,” “we,” “us,” or “our”), including but not limited to our AI platform, APIs, documentation, and any related software (collectively, the “Services”), you (“Customer” or “you”) agree to comply with and be bound by these Terms of Service (“Terms”). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, you may not access or use the Services.
2. Definitions
- “Customer Data” means any data, content, code, documents, or materials that you submit, upload, or transmit to the Services, including any outputs generated by AI models based on your inputs.
- “Future Guru IP” means the Services, software, algorithms, models, API specifications, documentation, and any related intellectual property owned by Future Guru.
- “Subscription Term” means the period during which you have paid for access to the Services under an Order Form or invoice.
3. Use of Services
Subject to these Terms, Future Guru grants you a non-exclusive, non-transferable, revocable right to access and use the Services during the Subscription Term, solely for your internal business purposes. You agree to use the Services in compliance with all applicable laws and regulations, including export control and data protection laws.
You acknowledge that AI-generated outputs may not be perfect or error-free. You are responsible for validating any outputs before relying on them in high-stakes decisions. Future Guru does not provide medical, legal, or financial advice.
4. Data & Intellectual Property
Your Content: You retain all right, title, and interest in and to your Customer Data. Future Guru does not claim ownership over your data. By using the Services, you grant Future Guru a limited license to host, process, and transmit your Customer Data solely to provide, improve, and secure the Services in accordance with our Data Processing Addendum.
Future Guru IP: All rights, title, and interest in the Services, including AI models, algorithms, and software, remain with Future Guru. You may not reverse engineer, copy, or create derivative works of our IP unless explicitly permitted by law.
Feedback: If you provide suggestions or feedback, you grant Future Guru a perpetual, irrevocable license to use and incorporate that feedback without compensation.
5. Fees & Subscriptions
Fees for the Services are set forth in your Order Form or pricing schedule. Unless otherwise stated, all fees are non-cancelable and non-refundable. We may adjust pricing upon renewal with 30 days’ notice. Late payments may incur interest at 1.5% per month or the maximum allowed by law. You are responsible for any taxes, levies, or duties imposed by taxing authorities.
6. Confidentiality
Each party agrees to protect the other’s confidential information (including Customer Data, trade secrets, and unpublished product information) using reasonable care. Neither party will disclose or use the other’s confidential information except as necessary to perform obligations under these Terms or as required by law.
7. Service Level & Availability
Future Guru uses commercially reasonable efforts to make the Services available 24/7/365, excluding planned maintenance (notified at least 48 hours in advance) and unforeseen outages. Our target uptime is 99.9% monthly. If we fail to meet this SLA, your sole remedy is a service credit as described in our Service Level Addendum.

8. Prohibited Uses
You may not use the Services to:
- Violate any applicable law or regulation (including anti-spam, sanctions, or privacy laws).
- Generate, store, or distribute harmful content, including malware, hate speech, harassment, or child exploitation material.
- Attempt to bypass rate limits, sublicense the Services to third parties without a written agreement, or use the Services to build a competing AI product.
- Engage in any activity that compromises the security or integrity of the Services.
We reserve the right to investigate and suspend access if we reasonably suspect prohibited use, without prior notice.
9. Termination & Suspension
Either party may terminate the agreement for material breach if the breach remains uncured 30 days after written notice. Future Guru may suspend access immediately if (a) payment is overdue beyond 15 days, (b) you violate the Prohibited Uses section, or (c) required by law. Upon termination, we will delete your Customer Data within 60 days unless a longer retention is required by law.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FUTURE GURU DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ERROR-FREE OR UNINTERRUPTED SERVICE. AI OUTPUTS MAY NOT ALWAYS BE ACCURATE OR COMPLETE. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE.
11. Limitation of Liability
TO THE EXTENT PERMITTED BY APPLICABLE LAW, NEITHER FUTURE GURU NOR ITS LICENSORS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU DURING THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY. THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, ETC.).
12. Indemnification
You agree to indemnify, defend, and hold harmless Future Guru, its affiliates, and employees from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of (a) your violation of these Terms, (b) your Customer Data, or (c) your violation of any third‑party rights, including intellectual property or privacy rights. Future Guru may assume exclusive defense of any matter subject to indemnification at its option.
13. Governing Law & Disputes
These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, under the rules of JAMS. Both parties waive the right to a jury trial or to participate in a class action. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights.
14. Amendments
Future Guru may update these Terms from time to time. If we make material changes, we will notify you via email or platform notification at least 30 days in advance. Your continued use after the effective date constitutes acceptance of the revised Terms. For enterprise customers under a separate MSA, the MSA shall control.
